Terms of Service

Effective Date: May 30, 2026

These Terms of Service govern your use of Vector Aerial Consulting's website and all drone videography and photography services provided by Vector Aerial Consulting ("Photographer") to any client ("Client"). By requesting a quote, submitting a deposit, or engaging our services in any form, Client agrees to these terms in full.

1. Services

Vector Aerial Consulting will fly an unmanned aircraft ("sUAS") over the agreed property and/or through structures on the property in order to record video or images ("the media") for the purposes agreed upon with Client. Photographer will edit the media using professional discretion per any agreed-upon shot sheet and will deliver the finished media digitally to Client within the agreed turnaround window. At the request of Client, or where required by law or statute, Photographer shall provide adequate signage at the property stating that FAA licensed drone operations are occurring during the shoot. Services are confirmed only upon written agreement or signed proposal and receipt of any required deposit.

2. Requested Edits

Client may request edits to the delivered media in writing to Photographer. Requested edits, reshoots, or additional shoots beyond the original agreed scope will be rendered at an additional fee. Editing of delivered media by Client is not permitted under the usage rights granted herein — the right to edit and modify media is retained solely by Photographer.

3. Cancellation and Rescheduling

The decision to cancel or reschedule any shoot is left to the sole discretion of Photographer. Photographer reserves the right to cancel or postpone any shoot due to unforeseen circumstances including, but not limited to: weather, air traffic control restrictions, illness, emergency, temporary flight restrictions, or any other conditions which Photographer deems may adversely affect the quality of the services or put people or property at undue risk. Weather-related cancellations will be rescheduled at no charge at the next mutually available date. Client-initiated cancellations within 24 hours of a confirmed shoot may be subject to a cancellation fee of up to 50% of the agreed project rate.

4. Compliance with 14 CFR Part 107

All flights are conducted under the Code of Federal Regulations Title 14 Part 107 (14 CFR 107), which governs the commercial use of Small Unmanned Aerial Systems (sUAS). Photographer employs only remote pilots in command (R.P.I.C.) certified under this regulation. If airspace authorization is required, Photographer will apply for all necessary approvals. Flights may be restricted based on the conditions of any such authorization, including flight ceiling, time of day, or duration. All exterior shoots are contingent upon weather conditions and may be rescheduled up to the time of the shoot at the sole discretion of the R.P.I.C. or Photographer.

5. Limitation of Liability for Non-Completion

In the event Photographer is unable to fulfill services due to injury, illness, acts of God, equipment failure, or any other reason beyond Photographer's reasonable control, Client's sole and exclusive remedy is the return of any payments made pursuant to the applicable agreement, minus any non-refundable portions for services already rendered. This limitation applies to the loss of images or videos beyond Photographer's control, including but not limited to fire, theft, or equipment malfunction.

6. Release from Liability

Client acknowledges that operating a sUAS can be dangerous. Client acknowledges that any unmanned flight, regardless of the R.P.I.C.'s skill, can result in damage to property, fire, personal injury, or death. While all reasonable precautions will be taken to ensure the safety of all people and property, including FAA-mandated preflight checks and equipment maintenance, Client acknowledges that accidents may occur. Client agrees to defend, indemnify, and hold harmless Vector Aerial Consulting and its employees, agents, and subcontractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the services provided, except to the extent caused by the gross negligence or willful misconduct of Photographer.

7. Likeness Release

Client represents and warrants that Client has the authority to authorize the photographing and recording of all individuals present at the agreed property during the shoot. Client grants Photographer the irrevocable and unrestricted right to alter, use, and publish all images and videos captured during the shoot for advertising, display, publication, portfolio use, and all other marketing and educational purposes. Client agrees to release all claims to any profit generated by Photographer through such use. Client further agrees to indemnify and defend Photographer against all claims, demands, or lawsuits arising from Photographer's use of the media as contemplated herein. Where individuals under the age of 18 may be captured, Client is responsible for obtaining appropriate written consent in compliance with applicable law.

8. Copyrights and Usage Rights

Photographer retains ownership and copyright of all raw media captured during any shoot. Upon receipt of full payment, Photographer assigns to Client a non-exclusive, perpetual, royalty-free license to use the delivered finished media on any platform for any amount of time for the agreed purposes, including marketing, social media, and internal use. This license does not include the right to edit, alter, or modify the delivered media, which remains the sole right of Photographer. Photographer retains the right to display delivered media on Photographer's own website, social media, and marketing materials for promotional and portfolio purposes, unless Client requests otherwise in writing prior to the shoot.

9. Compensation and Payment

The cost of services will be outlined in the applicable proposal or invoice. Payment is due within 15 days of receipt of invoice. For projects with a total value above $500, a non-refundable deposit of 50% of the total project cost is due prior to or on the day of the shoot. The remaining 50% balance is due upon delivery of deliverables and no later than 15 days after delivery. For recurring monthly monitoring plans, invoices are issued in advance and due within 15 days of issuance. Outstanding invoices past 30 days are subject to a late fee of 1% per month until paid in full.

10. Agreement Modification and Severability

These Terms constitute the entire agreement between Client and Vector Aerial Consulting with respect to the subject matter herein and supersede all prior agreements between the parties. These Terms may only be modified in writing and as agreed upon by both parties. If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. Any waiver of a provision by either party does not alter the enforceability of remaining provisions.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas. Any disputes arising hereunder shall be resolved in Williamson County, Texas.
